Standard Terms for a Subscription to Online Lessons and Courses

These terms and conditions apply to any Subscription purchased from Police Legal Sciences, Inc. (“PLS”).  By purchasing a Subscription or accessing Lessons and Courses, you accept these Terms and Conditions.


  1. Definitions.

a. Course: A collection of Lessons.

b. Customer: Any person or entity that purchases a Subscription from PLS.

c. Lesson: A single unit of online training.

d. PLS Training System: The online system through which PLS provides Lessons and Courses.

e. Release Schedule: The schedule upon which PLS releases Lessons to Clients, which may be changed from time to time with or without notice. The Release Schedule may be requested from PLS.

f. Seat: A license to access a Lesson or Course for a single User.

g. Subscription: An agreement between Customer and PLS under which Customer purchases a license to access Lessons or Courses.

h. Subscription Term: The period during which Customer may access Lessons or Courses, which may be renewed.

i. Users: A Customer’s employees, independent contractors, or other staff with login credentials to the PLS Training System.


  1. Scope of Services. PLS will provide Customer with:

a. Continuous access to the PLS Training System, subject to occasional downtime for system maintenance, for the Customer’s Subscription Term.

b. Access to the Lessons and Courses in Customer’s Subscription in accordance with the Release Schedule. Lessons will generally be available for 12 months after release, subject to the Subscription Term.

c. A printable Syllabus for each Lesson in the Subscription and a printable Certificate of Completion for each User upon passing the final exam for each Lesson.

d. Client support through the internal messaging function of PLS’s Training System or by phone during normal business hours (Central Time). Inquiries will typically be answered within 24 hours, excepting weekends and holidays.


  1. Reporting Completed Training.

a. PLS reports training completed training to state databases only for the states and on the schedules listed below.

    i. Missouri law enforcement officers: PLS provides training records to the St. Louis County and Municipal Police Academy to upload to the Peace Officer Standards and Training Commission once per month. The monthly records upload generally takes place in the first or second week of each month.

   ii. Michigan Dispatchers: Training completions are generally submitted once per month. Dispatchers must complete 12 lessons for the PLS Dispatch Pro Course to be completed.


  1. Price & Payment.

a. Payment of any invoice is due within 15 days of receipt. Failure to promptly pay may result in Customer being required to prepay for all Lessons and Courses.

b. Customer may add Seats to its Subscription at any time during the Subscription Term but may not decrease the number of Seats purchased during a Subscription Term.

c. PLS does not provide a refund for Lessons or Courses not completed, nor does it provide a refund for cancellations made during a Subscription Term.


  1. License Terms.

Customer agrees that the PLS Training System may not be used for any purpose other than training Users and managing their training. Customer and Users may not publish, adopt, copy, sublicense, or reverse engineer the PLS Training System. Customers and Users may not use PLS’s Lessons or training materials for any commercial purpose. Except for the license granted in these Terms & Conditions, all rights, title and interest in the Lessons and Courses are PLS property.


  1. DISCLAIMER OF WARRANTIES & LIMITATION OF LIABILITY.

CUSTOMER UNDERSTANDS THAT THE PLS TRAINING SYSTEM IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. PLS’S LIABILITY UNDER THIS AGREEMENT SHALL BE LIMITED TO THE AMOUNT PAID BY CUSTOMER TO PLS IN THE YEAR THE CLAIM ARISES. 


  1. Termination.

a. Either party may terminate a Subscription if the other party fails to discharge any obligation or remedy any default under these Terms & Conditions for a period of more than thirty calendar days after it has been given written notice of such failure or default.


  1. Data & Privacy.

a. Customers and Users will need to provide PLS with certain data such as names, contact details, and professional license numbers. PLS will store this data and use it to:

   i. Contact Customers and their Users;

   ii. Provide Customers & their Users with details regarding their Subscription; and

   iii. Provide training records to state regulatory agencies (such as state departments of public safety, law enforcement academies, and peace officer standards and training commissions) as needed for certification or upon request.

b. PLS may share User personal data with:

   i. A User’s employer or other person or entity paying for the User’s training;

   ii. A government agency with regulatory authority over the User (such as state departments of public safety, law enforcement academies, and peace officer standards and training commissions);

   iii. A PLS contractor, such as a software developer, who must have access to the data to service the PLS training system; and

   iv. A person or entity with a court order for the data.

c. Except as provided above, PLS does not share User personal data with third parties.

d. PLS Lessons and Courses may link to third party websites. PLS is not responsible for their data policies or procedures or their content.

e. PLS endeavors to take all reasonable steps to protect the Customer and User data including the use of encryption technology. Clients and their Users accept the inherent security implications of being and transacting online and will not hold PLS responsible for any breach of security.


  1. Force Majeure.

PLS will not be liable for inadequate performance to the extent caused by a condition (for example, natural disaster, act of war or terrorism, riot, labor condition, governmental action, quarantine, and internet disturbance) that is beyond its reasonable control.


  1. No Attorney-Client Relationship.

Nothing in these Terms and Conditions or in the training provided by PLS shall create an attorney-client relationship between Customer or its Users and PLS or any of PLS’s attorneys.


  1. Applicable Law.

This Agreement shall be governed by the laws of the State of Iowa.


  1. Entire Agreement.

These Terms & Conditions, together with the terms in any Invoices Customer has paid, constitute the entire agreement between the Parties superseding all prior oral or written agreements or understandings between the Parties.


  1. Severability & No Waiver.

In the event any paragraph or part of this agreement is held to be unenforceable then said paragraph or part shall be struck and all remaining provisions shall remain in full force and effect.

The failure of any party to insist upon the performance of any of these Terms and Conditions, or the waiver of any breach of the same, shall not be construed as thereafter waiving any these Terms and Conditions, but the same shall continue and remain in full force and effect.


  1.  Assignment.

These Terms & Conditions shall be binding upon and inure to the benefit of both PLS and Customer and their respective successors, heirs, and personal representatives.


  1. Subject to Change.

These Terms & Conditions may be changed by PLS at any time. Updated Terms & Conditions will be posted on the PLS website.


  1. Notices.
